Welcome to Touris ("Touris", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our WhatsApp-based software-as-a-service platform (the "Service").

By creating an account or using our Service, you agree to be bound by these Terms.

1. Account & Customer Responsibilities

1.1 Account Ownership

When you create an account with Touris, you ("Customer", "you") are the legal owner of that account and responsible for all activities under it.

You must provide accurate and complete information, including your legal business name where applicable.

1.2 Acting on Behalf of a Business

If you sign up on behalf of a company or organization:

  • That entity is the Customer under these Terms
  • You confirm you have authority to bind that entity

2. Nature of Service (Important)

Touris provides a software platform that enables businesses to communicate with customers via WhatsApp.

We:

  • Do NOT own or control WhatsApp
  • Do NOT act as a messaging carrier
  • Do NOT participate in transactions between you and your customers

You are solely responsible for:

  • Messages sent through the platform
  • Customer interactions
  • Any business conducted via WhatsApp

3. WhatsApp & Third-Party Dependencies

Our Service relies on third-party platforms including Meta / WhatsApp Business Platform.

By using Touris, you acknowledge:

  • You must comply with WhatsApp Business policies
  • Meta may approve, reject, or restrict your account or templates
  • Messaging fees may be charged separately by Meta

We are not responsible for:

  • WhatsApp outages
  • Template rejections
  • Account bans or restrictions by Meta

4. Acceptable Use

You agree NOT to use Touris for:

  • Spam or unsolicited messaging
  • Scams, fraud, or phishing
  • Impersonation or misleading identities
  • Illegal goods/services
  • Harassment, abuse, or harmful content
  • Violating WhatsApp policies or local laws

We reserve the right to:

  • Suspend or terminate accounts
  • Remove content
  • Report violations to authorities if required

5. Messaging Compliance (Critical)

You are responsible for ensuring:

  • You have user consent (opt-in) before messaging
  • You respect the 24-hour messaging window rules
  • You use approved templates where required

Failure to comply may result in:

  • WhatsApp penalties
  • Message delivery failure
  • Account suspension (by Meta or Touris)

6. Fees & Billing

6.1 Subscription Fees

You agree to pay all applicable fees for your selected plan (monthly or annual).

6.2 Usage-Based Fees

Additional charges may apply, including:

  • WhatsApp conversation/message fees (charged by Meta)
  • Add-on features or integrations

6.3 Payment

You must maintain a valid payment method.

If payment fails:

  • We may retry billing
  • We may suspend your account after a reasonable period

6.4 No Refunds

All payments are non-refundable, unless required by law.

7. Data & Privacy

You are responsible for:

  • Ensuring you have the right to collect and use customer data
  • Complying with applicable data protection laws (e.g. PDPA)

We will handle personal data according to our Privacy Policy.

8. Confidentiality

Both parties agree to keep confidential information secure and only use it for purposes related to the Service.

9. Intellectual Property

  • You retain ownership of your data and content
  • You grant Touris a license to use it to operate the Service

We retain all rights to:

  • Our software
  • Platform features
  • Branding

10. Third-Party Services

Our platform may integrate with third parties.

By using them:

  • You accept their terms
  • You allow us to share necessary data

We are not liable for third-party services.

11. Service Availability

We aim for high availability but do not guarantee:

  • Uninterrupted service
  • Error-free operation

The Service is provided “as is”.

12. Limitation of Liability

To the maximum extent permitted by law:

Touris shall not be liable for:

  • Loss of profits or revenue
  • Business interruption
  • Loss of data
  • WhatsApp-related issues outside our control

13. Indemnification

You agree to indemnify Touris against any claims arising from:

  • Your use of the Service
  • Your violation of laws or policies
  • Your communications with customers

14. Termination

You may terminate your account at any time.

We may suspend or terminate your account if:

  • You violate these Terms
  • You fail to pay fees
  • Required by law or third-party platforms (e.g. Meta)

Upon termination:

  • Access to the Service will be revoked
  • Outstanding fees remain payable
  • No refunds will be issued

15. Changes to Terms

We may update these Terms from time to time. Continued use of the Service means you accept the updated Terms.

16. Governing Law

These Terms are governed by the laws of Singapore.
